Point 4.01 Changes in the registrant’s certifying accountant.

On May 24, 2022, Siyata Mobile Inc. (the “company“) relationship with Davidson & Company LLP, the Company’s independent registered public accounting firm, was terminated and on that date the Company notified Friedman LLP (“Friedman“) that Friedman has been approved by both the Audit Committee of the Board of Directors and the Board of Directors as the Company’s independent registered public accounting firm for the year ended December 31, 2022. This change in auditors was reported by the Company on its form 6-K as filed with the Securities and Exchange Commission (“SEC“) on May 31, 2022. As of the date of this release, Friedman has not audited any of the Company’s financial statements.

Effective September 1, 2022, Friedman merged into Marcum LLP (“Mark“). On September 23, 2022, the Company’s board of directors confirmed and approved the dismissal of Friedman and the appointment of Marcum as the Company’s independent registered public accounting firm. The services previously provided by Friedman are now provided by Marcum. No changes were made to the terms of engagement .

During the Company’s two most recent fiscal years ended December 31, 2021 and December 31, 2020 and the subsequent interim period ended September 21, 2022, neither the Company nor anyone on its behalf consulted with Marcum regarding: (i) the application of accounting principles to a particular transaction, either completed or proposed, or the type of opinion that might be given on the Company’s financial statements, and no written report has been submitted to the Company, nor has it been orally discussed that Marcum concluded that this was an important factor considered by the company when making accounting, auditing or financial reporting decisions; or (ii) any matter that was the subject of either a “Dispute” or a “Reportable Event” (as such terms are defined or described in Section 304(a)(1)(iv) and Section 304(a)(1). ) (v) of Regulation SK).

In addition, there were no “reportable events” (as that term is defined in Article 304(a)(1)(v) of the Regulations) in the Company’s most recent two financial years and in the interim period thereafter through September 21, 2022. SK and related instructions), except for those matters set forth in the company’s report on Form 6-K filed with the SEC on August 19, 2022, regarding the company’s accounting treatment for the classification of Company Warrants.

Friedman has provided the Company with a letter regarding the information provided on this Form 6-K, which letter. is filed on Form 6-K as Exhibit 16.1 to this current report.
